How to Change Company Name in Online ?


A private limited company may change its name for a variety of reasons, including changing the company's objectives, personnel changes, and branding initiatives. Changing a company's name is permissible with shareholders' approval. 


Rename a private limited company :


A company’s name must be specified when it is created and cannot be changed. A private limited company may change its name by submitting a special resolution and MCA approval, but this change has no effect on the entity’s status as a corporate or legal entity. The name of the firm will remain the same regardless of the change: 


  • Result in rights and obligations for the company.
  • A legal lawsuit against or by the company that is submitted incorrectly.
  • There will be no change to any pending legal proceedings by or against the company or in the old name; they can keep using the old name.


The name of a private limited company can be changed :


The Companies Act of 2013 specifies the procedure for altering a company's name.


1.Board Resolution is the first step :


It is necessary to convene a board meeting to empower a director or company secretary to apply to the MCA for a resolution changing the company's name and verifying whether the name is available. At the same meeting, a board can also vote for an extraordinary general meeting to change the company's name and organisational documents. The resolution and the memorandum of association and articles of association may both be adopted. 


2.Verify Availability of Company Name :


When a resolution has been passed to make sure that the desired company name is available, an authorised person can go through the MCA name application process, which is similar to the private limited company name procedure. In accordance with the Companies Act 2013 naming standards, the name should be submitted. 


 3. Accept the Special Offer to Change the Name of the Company :


Upon receiving the MCA's approval, a company must hold an extraordinary general meeting and pass a special resolution changing the Memorandum of Association and Articles of Association in order for a name change to take effect. 


4. Request for permission to modify the company's name :


When a resolution to change the company name is approved, the special resolution and application for a company name change must be filed with the Registry of Companies. An application for a name change should be filed in Form 1B. 


5. A fresh certificate of incorporation is being issued :


When the Registrar of Companies accepts a company name change application, a new certificate of incorporation will be issued. It is critical to keep in mind that the name change is deemed to be complete and binding once a new certificate of incorporation has been issued by the Registrar of Companies. 


6 . MOA and AOA :


Upon receipt of the new certificate of incorporation, all copies of the Memorandum of Association, Articles of Association, and Certificate of Incorporation should be amended to include the new company's name.

The name must be appealing :


Under the Companies Act, 2013, no company may be registered with an undesirable name. A proposed name for a private limited company must not be similar to, closely resemble, or otherwise infringing on the name of a company in operation or on file with the registrar, an LLP name that is on file with the registrar, or a registered trademark or trademark application. Furthermore, names that violate the provisions of symbols or words or phrases that are offensive to a large segment of the population are unacceptable. It is unlawful.
