All You Need to Know About Decriminalisation of the LLP Act

You’ve been hit by a smooth Decriminalisation!

Ministry of Corporate Affairs has announced plans to decriminalise 12 offences and omit a criminal liability provision under the Limited Liability Partnership Act, 2008. Why? To exculpate acts irrelevant to the concept of criminal behaviour and reduce unnecessary compliance burdens to allow people to go about their businesses.

LLPs are fairly popular as business vehicles and have been since 2008. So, this decision is but a natural corollary of the government’s previous efforts at corporate decriminalisation. While some penal provisions to establish discipline in the industry may be required, they need not be classified as “crimes” per se.

All the now-decriminalised offences will be shifted under the In-House Adjudication Mechanism. This will provide a localised forum for resolution. Ultimately, whether these measures will improve ease of doing business will depend upon how well these remedies are enforced by regulatory agencies.
